Crazy Eddie is upset. He purchased some stock in a public corporation recently. Having received his MBA from Freedonia University, Eddie considers himself an expert on management and believes the corporate officers and directors have made some foolish decisions causing the stock price to dip below Eddie’s expectations. Eddie wants to sue the officers and directors. You look into the matter and determine that the officers and directors had relied on the advice of an expert in making these bad decisions and never reviewed the facts or the expert’s analysis. Eddie asks if he has a chance. Please do the following three things:
Describe the law in this area by describing the rule that may grant some protection to officers and directors in certain situations;
Apply the law to the facts of this situation; and
Tell Eddie about his chances of winning his lawsuit.
